SPURTCOMMERCE ESOLUTIONS (P) LIMITED ("Licensor"), a company organized and existing under the laws of India, with its principal place of business located at NO.4, FIRST FLOOR, KAMRAJ COLONY, CHITLAPAKKAM, CHENNAI - 600064, TAMIL NADU, INDIA.

RECITALS

WHEREAS, Licensor has developed and owns the rights to SPURTCOMMERCE ONLINE MARKETPLACE SOLUTION

WHEREAS, Licensee desires to obtain a license to use the service – ‘Spurtcommerce White-Label’.

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties hereto agree as follows:

1. LICENSE GRANT

1.1 Licensor hereby grants to Licensee a non-exclusive, non-transferable license of ‘Spurtcommerce White Label License’ subject to the terms and conditions set forth in this Agreement.

1.2 The license granted herein includes the right to modify the source code of the Software to suit the Licensee's requirements, provided that such modifications are for Licensee's own use or for providing services to Licensee's customers.

1.3 Licensee shall have the right to white-label the software for re-branding, by removing all the traces of original branding.

2. MAINTENANCE AND SUPPORT

2.1. Licensor shall offer free technical support for any bugs found in the existing features of the Software.

2.2 Licensor shall provide functionality documentation and API documentation, accessible online via a URL provided by Licensor.

3. RESTRICTIONS

3.1 Licensee shall not resell the Software or distribute it as a digital good to the public.

3.2 Licensee shall not use the Software in any manner that violates any applicable laws or regulations.

4. PAYMENT

4.1 Licensee shall pay the price for the license as mentioned on the website for the product they purchase.

4.2 All payments are non-refundable, given the nature of the digital goods and the instant possession by the Licensee upon purchase.

5. LIABILITY FOR BREACH

5.1 Any failure by Licensor to perform its obligations under this Agreement shall constitute a breach of the Agreement, entitling Licensee to seek remedies as provided by law.

5.2 Any failure by Licensee to comply with the terms and conditions of this Agreement shall constitute a breach of the Agreement, making Licensee liable for any damages incurred by Licensor.

6. TERM AND TERMINATION

6.1 This Agreement shall take effect on the date of purchase of license and shall remain in effect perpetually unless terminated by either party in accordance with the terms herein.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1 This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of India.

7.2 Any disputes arising out of or in connection with this Agreement shall be subject to arbitration by the People’s Court at the location of Licensor.

8. MISCELLANEOUS

8.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, both written and oral, with respect to the subject matter hereof.

8.2 Any amendments or modifications to this Agreement must be in writing and signed by both parties.
