IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE DOWNLOADING OR USING THE SPURTCOMMERCE OPEN SOURCE NODEJS ECOMMERCE MARKETPLACE SOLUTION SOFTWARE.

This license agreement (the "Agreement") is a legal agreement between you (either an individual or a legal entity) and ‘Spurtcommerce eSolutions (P) Limited ("Licensor") for the Spurtcommerce Open Source NodeJS eCommerce Marketplace Solution software product ("Software").

By downloading, installing, or using the Software, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to the terms of this Agreement, do not download, install, or use the Software.


1. License Grant

Subject to the terms and conditions of this Agreement, Licensor hereby grants you a non-exclusive, worldwide, royalty-free license to use, modify, and distribute the Software in accordance with the Common Public Attribution License Version 1.0 ("CPAL") as published by the Open-Source Initiative.


2. Use for Customization

You may utilize the source code of the Software for customization purposes only. This includes modifying the Software to meet your own needs or the needs of your clients. However, you are expressly prohibited from selling, distributing, or publicly claiming ownership of the modified Software as your own. All modifications made to the Software must be used in accordance with the terms of this Agreement and must retain the original attribution to Licensor as set forth below.


3. Attribution

If you distribute the Software, you must include the following attribution notice:

"Spurtcommerce Open Source NodeJS eCommerce Marketplace Solution © 2017 - 2024 Spurtcommerce eSolutions (P) Limited All rights reserved."


4. No Warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.


5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Chennai, Tamil Nadu, India.


6. Entire Agreement

This Agreement constitutes the entire agreement between you and Licensor regarding the subject matter hereof and supersedes all prior or contemporaneous understandings and agreements, whether oral or written.
